Services

Asendance provides digital services including AI systems development, web design and development, paid advertising management, SEO, social media management, custom CRM development, and brand and identity design. The specific scope of services for each engagement is defined in a written proposal or statement of work agreed upon by both parties prior to project commencement.

Asendance reserves the right to decline any project at its discretion. These terms apply to all services provided by Asendance unless a separate written agreement specifies otherwise.

Intellectual Property

Upon receipt of final payment, the client receives full ownership of all custom deliverables created specifically for their project. This includes design files, code, written content, and other project-specific assets produced by Asendance under the engagement.

Asendance retains ownership of any pre-existing tools, frameworks, templates, or proprietary systems used to build client deliverables. The client receives a license to use those components as incorporated into their final project, but does not receive ownership of them. Asendance reserves the right to display completed work in its portfolio unless otherwise agreed in writing.

Payment Terms

Projects require a deposit before work begins. The deposit amount is specified in the project proposal and is typically 50% of the total project fee. For larger engagements, payment may be structured in milestones tied to project phases.

All invoices are due within 7 days of issuance unless otherwise specified. Late payments may result in paused work and a late fee of 1.5% per month on outstanding balances. Asendance is not responsible for project delays caused by late payment.

Deposits are non-refundable once work has commenced. If the client cancels a project, they are responsible for payment of all work completed up to the cancellation date, prorated from the total project fee.

Client Responsibilities

The client is responsible for providing timely feedback, required content, brand assets, and access to any necessary accounts or platforms. Delays caused by the client may affect the project timeline and are not the responsibility of Asendance.

The client warrants that any content, trademarks, or materials they provide do not infringe on the intellectual property rights of any third party. The client assumes full responsibility for any claims arising from content they supply.

Limitation of Liability

Asendance provides all services on an as-is basis. To the fullest extent permitted by law, Asendance is not liable for any indirect, incidental, special, or consequential damages arising from the use of our services or any deliverables provided.

In no event shall Asendance's total liability to any client exceed the total fees paid by that client for the specific project giving rise to the claim. This limitation applies regardless of the form of action and whether or not Asendance has been advised of the possibility of such damages.

Termination

Either party may terminate an engagement by providing written notice. Upon termination, the client is responsible for payment of all work completed through the termination date.

Asendance reserves the right to terminate any engagement immediately, without notice, if the client engages in fraudulent, abusive, or unlawful conduct, or fails to make payment after a reasonable cure period.

Governing Law

These Terms of Service are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from these terms or from services provided by Asendance shall be resolved in the courts of El Paso County, Texas.

Changes to These Terms

Asendance may update these terms from time to time. The date at the top of this page reflects the most recent revision. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
